Abstract

This study aimed to explore the nature and legal structure of the professional company, and to explain how the Palestinian Companies Law Decree No. (42) of 2021 and the Kuwaiti Companies Law No. (1) of 2016 regulate the issue of partner liability in the professional company by analyzing and comparing the provisions of both laws. The importance of the study lies in addressing a new topic in Palestinian legislation, which is professional companies and their regulatory framework in Palestine according to Companies Law Decree No. (42) of 2021, compared to the Kuwaiti Companies Law. The study focuses on examining the partner's liability in the professional company for the company's debts as well as the partner's liability for professional malpractice. The significance of the study also comes from the great impact of professional companies on the Palestinian economy. This study sheds light on the issue of the effectiveness of regulating partner liability in the professional company under the Companies Law Decree. Methodology: To answer the study's problem, the analytical comparative approach was followed by analyzing the texts of the Companies Law Decree provisions and comparing them with the texts of the Kuwaiti Companies Law and its executive regulations. Finding: This study concluded that the Palestinian legislation, in its regulation of the partner's liability for professional malpractice towards the company and the company's liability towards third parties, erred by excluding such liability when the professional company takes the form of a sole proprietorship or a general ordinary company. Recommendations: This study recommended that the Palestinian legislator issue special regulations for professional companies, following the example of the special regulations issued for non-profit companies No. (20) of 2022, due to the different structure of the professional company and its regulations compared to ordinary companies.

الملخص

هدفت هذه الدراسة إلى توضيح ماهية الشركة المهنية وطبيعتها القانونية، وبيان كيفية تنظيم القرار بقانون رقم (42) لسنة 2021 بشأن الشركات الفلسطيني وقانون الشركات الكويتي رقم (1) لسنة 2016 مسألة مسؤولية الشريك في الشركة المهنية من خلال تحليل ومقارنة أحكام كلا القانونين، وتكمن أهمية موضوع الدراسة في البحث بموضوع مستجد في التشريع الفلسطيني وهو الشركات المهنية وتنظيم عملها في فلسطين بحسب القرار بقانون رقم (42) لسنة 2021 بالمقارنة بقانون الشركات الكويتي، والتركيز على دراسة مسؤولية الشريك في الشركة المهنية عن ديون الشركة وكذلك مسؤولية الشريك عن خطأه المهني، كما ترجع أهمية موضوع الدراسة من تأثير الشركات المهنية في الاقتصاد الفلسطيني بشكل كبير، وجاءت هذه الدراسة لتسليط الضوء على إشكاليةمدى نجاعة تنظيم مسؤولية الشريك في الشركة المهنية في القرار بقانون بشأن الشركات، المنهج: وللإجابة على إشكالية الدراسة تم اتباع المنهج التحليلي المقارن من خلال تحليل نصوص مواد القرار بقانون بشأن الشركات، ومقارنتها بنصوص مواد قانون الشركات الكويتي وكذلك اللائحة التنفيذية لقانون الشركات الكويتي، النتائج: وتوصلت الدراسة إلى أن التشريع الفلسطيني وفي إطار تنظيمه لمسؤولية الشريك عن خطأه المهني اتجاه الشركة، ومسؤولية الشركة اتجاه الغير قد جانب الصواب عندما استثنى من نطاق هذه المسؤولية إذا اتخذت الشركة المهنية شكل الشركة المملوكة لشخص واحد أو الشركة العادية العامة، التوصيات: أوصت الدراسة المشرع الفلسطيني بضروة إصدار نظام خاص بالشركات المهنية وذلك على هدي ما قام به بخصوص إصدار نظام خاص للشركات غير الربحية رقم (20) لسنة 2022، وذلك لخصوصية الشركة المهنية وأحكام هذه الشركة التي تختلف بشكلٍ كبير عن الشركات العادية.
